Terms of Service

These Terms of Service ("Terms") govern your access to and use of Itemizer, operated by Itemizer, LLC ("we," "us," or "our"). By creating an account or using Itemizer, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

Itemizer is a web-based inventory and production management application for small-batch makers and food and beverage producers. It helps businesses track items, vendors, locations, recipes, production runs, and purchase orders. You may use Itemizer for personal and internal business purposes.

2. Accounts

To use Itemizer, you must register for an account. You agree to provide accurate, complete information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@itemizer.app if you suspect unauthorized access.

You must be at least 18 years old to use Itemizer. By creating an account, you represent that you meet this requirement.

3. Subscriptions and Payments

Itemizer offers a free plan and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at checkout. All payments are processed by Stripe. We accept Visa, Mastercard, American Express, and Discover. All prices are in US dollars.

Free Trial

We may offer free trials for paid plans. If you register through a beta invitation, you will receive a free trial period of up to 90 days. At the end of the trial period, your account will be charged according to your chosen subscription plan unless you cancel before the trial ends.

Cancellation

You may cancel your subscription at any time by logging into your account and visiting the Account & Billing page. Cancellation takes effect at the end of your current billing period. We do not offer refunds for unused portions of a subscription period.

Changes to Pricing

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes via email or in-app notification before they take effect.

4. Acceptable Use

You agree to use Itemizer only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the service or its related systems
  • Introduce malware, viruses, or other harmful code
  • Scrape, copy, or reverse engineer any part of the service
  • Use the service to transmit spam or unsolicited communications
  • Impersonate any person or entity
  • Interfere with or disrupt the integrity or performance of the service

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Your Content

You retain ownership of all data and content you enter into Itemizer ("Your Content"). By using the service, you grant us a limited license to store, process, and display Your Content solely to provide the service to you. We do not sell Your Content or use it for advertising purposes.

You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws.

6. Data and Privacy

Your use of Itemizer is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Itemizer, you consent to the collection and use of your information as described in the Privacy Policy.

7. Third-Party Services

Itemizer integrates with third-party services including Stripe (payment processing), Loops (email communications), Postmark (transactional email), Flare (error tracking), Laravel Cloud (hosting), HubSpot (CRM), and Marker.io (user feedback). Your use of these services is subject to their respective terms and privacy policies. Itemizer may contain links to websites we do not own or control; we are not responsible for the content or practices of those sites.

8. Intellectual Property

Itemizer and its original content, features, and functionality are owned by Itemizer, LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the service without our prior written permission.

9. Disclaimer of Warranties

Itemizer is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Itemizer, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service. Our total liability to you for any claims arising out of or related to these Terms or the service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Itemizer, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, Your Content, or your violation of these Terms.

12. Dispute Resolution

If a dispute arises between you and Itemizer, LLC, we encourage you to contact us first at hello@itemizer.app to seek an informal resolution. If the dispute cannot be resolved informally within 30 days, the parties agree to resolve the dispute through binding arbitration in the state of Georgia, United States. Itemizer, LLC agrees to pay arbitration fees if they are deemed excessive.

If a dispute proceeds in court rather than arbitration, it shall be brought exclusively in the state or federal courts located in Georgia.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of Itemizer after changes take effect constitutes your acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to Itemizer at any time, with or without cause, with or without notice. You may terminate your account at any time through the Account & Billing page. Upon termination, your right to use the service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
